These terms and conditions ("Terms", "Agreement") are an agreement between PROVIS - Sole Proprietorship LLC ("PROVIS ", "us", "we" or "our") and you ("User", "you" or "your"). This Agreement sets forth the general terms and conditions of your use of the provis.ae website and any of its products or services (collectively, "Website" or "Services").

Content

All content, including but not limited to, the structure, design and arrangement of text, music, graphics such as artwork and photographs, user and visual interfaces, brand trademarks, and computer code contained on the site are licensed, controlled and owned by Provis. No part of the content of the Website may be copied and reproduced or distributed in any way including mirroring of the Website, in any other server, computer, website or any other means of publication or distribution for commercial enterprise, without prior written consent from Provis. Provis Services information which are intentionally made available for downloading from the Website may be used provided that (1) the proprietary notice in all copies of such documents are not remove, (2) the information is used for personal and non-commercial purposes, (3) to not copy, post and broadcast such information on media or any networked computer, (4) to not modify any such information, and (4) to not add or mark any warranties or representations relating to such documents.

You may not use the Website as follow: 1. Use of any algorithm or method whether manual or automated to gain access, obtain or monitor any part of the Website including its content are prohibited. Reproducing or bypassing the presentation or structure of the Website to access any of the private or not made public materials, documents or information, Provis has the right to block any of such activity. 2. Hacking or any other illegitimate means of mining information or any attempt to gain unauthorized access to any section (of the Website or system/network connected to the Website 3. Scanning or testing the weakness or vulnerability including breaching the security and authentication measures implemented on the Website and any of the connected system or network to it. 4. Actions that impose unreasonable large load on the Website infrastructure, system or networks including any other system connected to the Website or Provis. 7. Providing false contact information of any kind may result in the termination of your account. To the maximum extent permitted by applicable law, the aggregate liability of PROVIS and its affiliates, officers, employees, agents, suppliers and licensors, relating to the Services will be limited to an amount greater of one dollar or any amounts actually paid in cash by you to PROVIS for the prior one-month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.

Indemnification

You agree to indemnify and hold PROVIS and its affiliates, directors, officers, employees, and agents harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys' fees, incurred in connection with or arising from any third-party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your content, your use of the Website or Services or any willful misconduct on your part.

Provis reserves the right at all times to disclose any information that Provis deems necessary to comply with any applicable law, regulation, legal process or governmental request. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to Provis, for which monetary damages would be inadequate, and you consent to Provis obtaining any injunctive or equitable relief that Provis deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Provis may have at law or in equity.

You agree that Provis may, in its sole discretion and without prior notice, terminate your access to the Website, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Website or any service offered on or through the Website, or (4) unexpected technical issues or problems.

If Provis does take any legal action against you as a result of your violation of these Terms of Use, Provis will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Provis. You agree that Provis will not be liable to you or to any third party for termination of your access to the Website as a result of any violation of these Terms of Use.

Severability

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

Dispute resolution

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Abu Dhabi, United Arab Emirates without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of United Arab Emirates. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the state and federal courts located in Abu Dhabi, United Arab Emirates, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement.

Any claim must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. claims made under the separate terms and conditions of purchase for Services are not subject to this limitation. In the event of any controversy or dispute between Provis and you arising out of or in connection with your use of the Website, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

Void Where Prohibited

Provis manage and maintains the operation of the Website from its location in Abu Dhabi, United Arab Emirates. Although the Website is accessible worldwide, not all features or Services provided or offered through the Website are available or appropriate to all persons or geographical locations outside of the UAE. Provis reserves the right to limit, in its sole discretion, the provision and quantity of any feature or service to any person or geographic area. Any offer for any feature or service made on the Website is void where prohibited. If you choose to access the Website from outside the UAE, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

Changes and amendments

We reserve the right to modify this Agreement or its policies relating to the Website or Services at any time, effective upon posting of an updated version of this Agreement on the Website. When we do, we will revise the updated date at the bottom of this page. Continued use of the Website after any such changes shall constitute your consent to such changes.

Provis reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Website, or any portion of the Website, for any reason; (2) to modify or change the Website, or any portion of the Website, and any applicable policies or terms; and (3) to interrupt the operation of the Website, or any portion of the website, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By using the Website or its Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to use or access the Website and its Services.
